Cryptique Terms of Service

1. Agreement to Terms

Welcome to Cryptique. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Client"), and Cryptique ("we," "us," or "our"), concerning your access to and use of the Cryptique website (https://cryptique.io), our web application, our software development kit (SDK), and any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Services").

By creating an account or by accessing or using the Services, you agree to be bound by these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

2. Definitions

"Client Data" means all electronic data or information submitted by you to the Services, including data collected via the SDK from your End-Users.

"End-User" means any individual who visits or interacts with your websites or applications where you have implemented the Cryptique SDK.

"Platform" means the Cryptique web application, dashboards, and AI engine (CQ Intelligence™).

"SDK" means our software development kit provided for you to integrate into your websites or applications to collect data.

3. User Accounts and Registration

To access the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your password and account credentials. You are responsible for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

You must be at least 18 years of age to use the Services.

4. The Services

We grant you a non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and your selected subscription plan. The Services include access to our Platform for data visualization, analytics, and insights, and the license to use our SDK on your designated properties.

We reserve the right to modify, suspend, or discontinue the Services, or any part thereof, with or without notice at any time.

5. Client Responsibilities and Acceptable Use

You are solely responsible for your use of the Services and for all Client Data. You agree to:

• Comply with all applicable laws, including data privacy and protection laws (e.g., GDPR, CCPA/CPRA).
• Provide necessary notices and obtain all required consents from your End-Users for the collection, use, and processing of their data by Cryptique on your behalf. This includes providing a clear and comprehensive privacy policy on your websites and applications.
• Not use the Services for any illegal or unauthorized purpose. This includes, but is not limited to, infringing on intellectual property rights, distributing malware, or engaging in fraudulent activities.
• Not interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.

You are responsible for the accuracy, quality, and legality of your Client Data and the means by which you acquired it.

6. Fees, Payment, and Subscriptions

Subscription Plans: The Services are provided on a subscription basis. You agree to pay all fees specified in your selected subscription plan.

Billing: We will bill you through our third-party payment processor (e.g., Stripe) in advance on a recurring basis (e.g., monthly or annually). All payments are non-refundable except as expressly stated in these Terms or as required by law.

Taxes: All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

Changes in Fees: We reserve the right to change our subscription fees upon 30 days' notice. Such notice may be provided at any time by posting the changes to the Cryptique website or by email.

7. Intellectual Property Rights

Our IP: We own all right, title, and interest in and to the Services, including all related intellectual property rights. This includes the Platform, the SDK, our AI models, and all underlying software, documentation, and branding. These Terms do not grant you any rights to our patents, copyrights, trade secrets, trademarks, or any other rights in respect to the Services.

Your IP: You retain all right, title, and interest in and to your Client Data. You grant us a worldwide, non-exclusive, royalty-free license to host, use, process, display, and transmit your Client Data as necessary for us to provide the Services to you in accordance with these Terms.

8. Data Ownership and Privacy

Client Data: As between you and Cryptique, you are the owner of all Client Data. We will process Client Data only on your behalf and under your instructions as the Data Controller.

Privacy Policy: Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated by reference into these Terms. You agree to our Privacy Policy and are responsible for ensuring your End-Users are informed of and consent to its terms where required by law.

9. Confidentiality

"Confidential Information" includes all information disclosed by one party to the other which is designated as confidential or which reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Your Confidential Information includes your Client Data. Our Confidential Information includes the Services and all non-public information regarding its features, functionality, and performance.

Each party agrees to protect the other's Confidential Information with the same degree of care that it uses to protect its own confidential information of like kind, but in no event less than reasonable care.

10. Term and Termination

Term: These Terms shall remain in full force and effect while you use the Services. Your subscription will automatically renew for successive periods unless you cancel it prior to the end of the current subscription period.

Termination by You: You may terminate your account and subscription at any time through your account settings.

Termination by Us: We may suspend or terminate your account and access to the Services, at our sole discretion, at any time and for any reason, including for any breach of these Terms.

Effect of Termination: Upon termination, your right to use the Services will immediately cease. We will have no obligation to maintain or forward any of your Client Data and may delete it, unless legally prohibited.

11. Disclaimers and Limitation of Liability

Disclaimer of Warranties: THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRYPTIQUE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

12. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your use of the Services; (2) your breach of these Terms; (3) your violation of the rights of a third party, including but not limited to the privacy or intellectual property rights of your End-Users.

13. Governing Law and Dispute Resolution

These Terms and your use of the Services are governed by and construed in accordance with the laws of IFZA, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Dubai, UAE, and the parties irrevocably consent to the personal jurisdiction and venue there.

14. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Cryptique concerning the Services.

Severability: If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Changes to Terms: We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will alert you about any changes by updating the "Last Updated" date of these Terms.
